Archivus is an AI-powered document intelligence platform that provides document management, analysis, organizational tools, and AI-powered insights. The service enables users to upload, store, organize, search, and analyze documents using artificial intelligence technologies.

The Service is provided by Ubiship Limited, a company operating under comprehensive accountability frameworks and cyber insurance coverage to ensure the security and protection of user data.

3. Eligibility

You must be at least 16 years of age to use Archivus. By using the Service, you represent and warrant that:

• You are at least 16 years old
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account.

You agree to:

• Notify us immediately of any unauthorized access or use
• Be responsible for all activities under your account
• Ensure all account information remains current and accurate

5. Acceptable Use

You agree not to:

• Upload, store, or transmit illegal, harmful, threatening, abusive, or offensive content
• Violate any applicable laws, regulations, or third-party rights
• Infringe on intellectual property rights, including copyrights, trademarks, or patents
• Attempt to gain unauthorized access to our systems, accounts, or networks
• Use the service to harm others, engage in fraudulent activities, or violate privacy rights
• Reverse engineer, decompile, or attempt to extract source code or algorithms
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems to access the Service without authorization
• Upload malicious software, viruses, or code designed to damage or interfere with systems
• Use the Service for any purpose that violates applicable data protection or privacy laws

6. Intellectual Property

Your Content

You retain ownership of all content you upload to Archivus. By uploading content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, analyze, and display your documents solely for the purpose of providing our services to you.

Our Content

The Archivus platform, including its design, features, code, trademarks, logos, and all intellectual property, is owned by Ubiship Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written permission.

7. AI Processing and Disclaimers

Our service uses artificial intelligence, including Claude AI and OpenAI technologies, to analyze your documents. While we strive for accuracy, AI-generated insights, summaries, and analyses should not be considered as professional, legal, financial, or medical advice.

You acknowledge and agree that:

• AI outputs may contain errors or inaccuracies
• You are solely responsible for verifying any AI outputs before relying on them
• We are not liable for decisions made based on AI-generated content
• AI processing is provided "as is" without warranties of any kind

8. Subscription Plans and Payment Terms

Archivus offers various subscription plans with different features, storage limits, and AI credit allocations. Paid subscriptions are billed in advance on a monthly or annual basis. Annual subscriptions receive a discount as specified at the time of purchase.

Payment terms include:

• All fees are non-refundable except as required by law or at our discretion
• You may cancel your subscription at any time, and it will remain active until the end of the current billing period
• We reserve the right to change pricing with 30 days' notice to existing customers
• Failure to pay may result in suspension or termination of your account
• Refunds are handled on a case-by-case basis

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure service. We may perform maintenance, updates, or modifications that temporarily affect availability.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Implement new features or remove existing features
• Perform scheduled or emergency maintenance
• Limit access to certain features based on subscription tier

10. Data Security and Privacy

Ubiship Limited operates under comprehensive accountability frameworks and maintains cyber insurance coverage. We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits.

Your documents are isolated by tenant and protected by row-level security policies. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Ubiship Limited, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ubiship Limited and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

13. Termination

We may suspend or terminate your account immediately if:

• You violate these Terms of Service
• You engage in fraudulent or illegal activities
• You fail to pay required fees
• We are required to do so by law

You may terminate your account at any time by contacting us or using account deletion features in the Service. Upon termination, your right to use the Service will cease immediately, and we may delete your data in accordance with our data retention policies.

14. Data Export and Deletion

You may export your data at any time using features provided in the Service. Upon account termination, you are responsible for exporting any data you wish to retain. We may delete your data after a reasonable retention period following account termination.

15. Third-Party Services

The Service may integrate with or use third-party services, including but not limited to Supabase, Anthropic, OpenAI, Stripe, and cloud storage providers. Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Ubiship Limited is incorporated, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ubiship Limited regarding the Service and supersede all prior agreements and understandings.
